UniKey Terms of Service

These Terms of Service (the “Terms”) govern access to and use of UniKey, including the UniKey website, console, AI Credits, API gateway, model and agent integrations, and related documentation (collectively, the “Service”). By creating an account, connecting a wallet, purchasing AI Credits, creating an API key, or using the Service, you agree to these Terms. If you use the Service for an organisation, you represent that you can bind that organisation to these Terms.

1. The Service​

UniKey provides a unified interface for calling third-party and UniKey-operated AI capabilities. The Service may include OpenAI-compatible and Anthropic-compatible endpoints, model routing, usage metering, API keys, AI Credits, agent or workflow features, and other features that we may add, change, suspend, or remove.

The available models, providers, endpoints, limits, prices, conversion rates, and geographic availability may change. Documentation and the console are the operational source for current availability. A model name or compatibility format does not mean that UniKey is the model developer or that a provider makes any warranty about the Service.

2. Eligibility and accounts​

You must be legally capable of entering a binding agreement and must comply with the laws that apply to you. You are responsible for the accuracy of information supplied to UniKey, protecting your login credentials and API keys, and all activity performed through your account or keys. Do not share a secret API key in client-side code, public repositories, prompts, logs, or support tickets. Notify us promptly at support@getunikey.com if you suspect unauthorised access.

Wallet login identifies the connected wallet address and may require a cryptographic signature. UniKey does not receive or store your wallet seed phrase or private key. You are solely responsible for the wallet, signing decisions, network selection, gas fees, and keeping any recovery material safe. If you lose control of a wallet or account, UniKey may be unable to restore access or recover account history.

3. AI Credits, prices, and usage​

AI Credits are prepaid, non-transferable platform credits used to measure eligible Service usage. They are not a bank deposit, electronic money, cryptocurrency, security, or promise of a cash-equivalent redemption unless applicable law requires otherwise. Credits do not earn interest and may not be sold, sublicensed, or transferred between accounts without our written permission.

The console or documentation may show a conversion such as $1 = 10,000 AI Credits. This is informational and may change. The applicable price is the price displayed before a purchase or usage event, subject to correction for manifest errors and any mandatory consumer rights. Usage may depend on model, input and output tokens, cached tokens, tools, web search, routing, taxes, network fees, and other disclosed units.

You authorise UniKey to deduct the applicable Credits for requests made with your account or API keys. Usage records may be delayed, estimated, corrected, or reversed when a provider reports an error, a request is retried, or fraud or abuse is detected. You must maintain sufficient balance and application-side limits; autonomous agents can consume Credits rapidly.

4. Payments through Waffo and Web3 wallets​

UniKey may offer payment and top-up flows using Waffo and supported Web3 wallets. Waffo and any wallet, blockchain, acquiring bank, card network, or other payment provider may impose separate terms, eligibility rules, fees, verification, limits, settlement times, and privacy practices. Review the Waffo terms, applicable provider terms, and the transaction details shown at checkout.

For a Web3 wallet payment, you instruct your wallet to sign and broadcast a transaction. Blockchain transactions are generally public and irreversible once confirmed. UniKey cannot cancel, reverse, or recover a transaction sent to the wrong address, on the wrong network, or with an incorrect amount. Network congestion, validator failure, smart-contract bugs, chain reorganisations, wallet outages, and unsupported assets may delay or prevent crediting. Only use the asset, network, contract address, and amount displayed by the official UniKey payment flow.

For a Waffo payment, the payment status received from Waffo is used to determine whether a top-up can be credited. A pending, failed, reversed, disputed, or unauthorised payment may be held for review or result in a correction to the related Credits. We do not promise that every payment method will remain available.

Except where required by law or expressly stated at checkout, purchases of Credits are final after successful crediting. A refund request must be sent to support@getunikey.com with the account identifier, transaction reference, amount, and reason. We may ask Waffo or another payment provider to verify the transaction. We do not refund blockchain network fees, and a refund to a wallet may require the same or another supported network. We will not ask for your private key or seed phrase.

5. Third-party models and services​

Requests may be processed by third-party AI model, infrastructure, analytics, identity, payment, hosting, security, or communications providers. Their processing may occur in countries other than yours and may be governed by their own terms. UniKey will use reasonable contractual and technical measures appropriate to the Service, but cannot guarantee the availability, accuracy, safety, latency, output quality, or retention practices of a third party.

AI output can be incorrect, incomplete, biased, unsafe, or infringing. You must evaluate output before relying on it and maintain human review for high-impact decisions. Do not represent AI output as human-authored or professional advice without appropriate verification.

6. Acceptable use and AIGC content standards​

You may use the Service only lawfully and in accordance with these Terms. These rules apply to text, image generation, image editing, multimodal input, model output, and any content published or shared through the Service. You must not:

  • violate privacy, intellectual-property, export-control, sanctions, consumer-protection, or other applicable laws;
  • use the Service to facilitate fraud, money laundering, terrorist financing, market manipulation, phishing, malware, credential theft, or unauthorised access;
  • generate or distribute content that exploits or sexualises minors, facilitates serious violence, or targets people with unlawful discrimination or abuse;
  • reverse engineer, probe, overload, scrape, resell, or bypass rate limits, safety controls, authentication, billing, or geographic restrictions;
  • submit private keys, seed phrases, passwords, payment-card security codes, or other secrets to prompts, model inputs, logs, or support channels;
  • use another person’s identity, wallet, payment method, API key, or data without authorisation; or
  • use outputs or the Service as the sole basis for medical, legal, financial, employment, housing, education, insurance, safety-critical, or other high-impact decisions.

When using image generation or other AIGC features, you must not request, create, upload, edit, or distribute:

  • pornography, explicit sexual acts, sexual services, fetish content, or sexually explicit nudity (including sexualised depictions of real people);
  • child sexual abuse or exploitation material, sexualised depictions of minors, or content that facilitates grooming or exploitation;
  • deepfakes, face swaps, voice clones, or other realistic impersonation of a person without that person’s authorisation, or deceptive political or public-interest content presented as authentic;
  • graphic violence, gore, torture, terrorist propaganda, instructions for serious violence, or content that praises or materially facilitates violent wrongdoing;
  • hateful or harassing content targeting protected characteristics, including threats, doxxing, or dehumanising portrayals;
  • fraud, phishing, malware, credential theft, evasion of safety systems, or instructions that facilitate illegal activity;
  • content that infringes copyright, trademark, publicity, privacy, or other rights, including unauthorised use of a person’s likeness or a protected brand; or
  • content that meaningfully enables self-harm, dangerous weapons, or other imminent physical harm.

You must have the necessary rights and permissions for every person, likeness, voice, brand, image, dataset, and other material submitted to an AIGC feature. You must not present generated content as authentic evidence when it is synthetic or materially altered. Where appropriate, label generated or materially edited content as AI-generated.

7. User reports and content moderation​

Report suspected illegal, abusive, non-consensual, or policy-violating content, compromised accounts, or payment-related abuse to support@getunikey.com. Include the relevant URL or request identifier, a concise description, and evidence that you are permitted to share. For urgent threats to a person’s safety, contact local emergency services first and then notify us. Do not send private keys, seed phrases, passwords, or unnecessary personal data in a report.

UniKey may use automated signals and trained reviewers to detect, prevent, and investigate policy violations. We may block or filter a request, withhold or remove output, label content, limit features, require additional verification, rotate or revoke API keys, suspend or terminate accounts, preserve evidence, or refer matters to providers or authorities when reasonably necessary. A moderation action may be based on the request, output, account history, payment signals, reports, or legal obligations. We may provide an explanation and review channel where practical and lawful; reports do not guarantee removal or a particular outcome.

You are responsible for obtaining all permissions needed for input data and for providing legally adequate notices to people whose data you submit. You must configure your application to prevent uncontrolled agent loops, unauthorised spending, and disclosure of confidential information.

8. Intellectual property and feedback​

As between you and UniKey, you retain rights you already have in lawful input data. Subject to applicable law and third-party terms, you may use output generated for your account, but output may not be unique and UniKey does not guarantee that it is eligible for copyright or free of third-party claims. UniKey and its licensors retain rights in the Service, software, documentation, trademarks, designs, and underlying models.

If you send suggestions or feedback, you grant UniKey a worldwide, royalty-free, non-exclusive licence to use it to operate and improve the Service, without identifying you publicly unless separately agreed.

9. Availability, suspension, and termination​

We may maintain, limit, suspend, or discontinue all or part of the Service for security, legal, provider, capacity, maintenance, payment, or business reasons. We may suspend or terminate an account, API key, request, or Credits when we reasonably suspect abuse, fraud, unauthorised payment, a Terms violation, or a risk to the Service or others. Where practical, we will provide notice and an opportunity to resolve the issue.

You may stop using the Service and request account closure at support@getunikey.com. Closing an account does not erase payment, security, abuse-prevention, tax, or blockchain records that we must retain, and does not remove obligations that by their nature continue. Unused Credits are handled under the refund rules above and applicable law.

10. Disclaimers​

To the maximum extent permitted by law, the Service is provided on an “as is” and “as available” basis. UniKey disclaims implied warranties, including merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, and accuracy. We do not guarantee that the Service, a model, a payment flow, a wallet connection, or output will be secure, error-free, available in every location, or suitable for your use case.

Nothing in these Terms excludes or limits a right or remedy that cannot lawfully be excluded, including mandatory consumer rights.

11. Liability​

To the maximum extent permitted by law, UniKey is not liable for indirect, incidental, special, consequential, exemplary, or punitive loss, or for lost profits, revenue, data, goodwill, business opportunity, or digital assets. UniKey is not responsible for third-party providers, wallet software, blockchain networks, gas fees, market movements, incorrect wallet instructions, or your input, decisions, or use of output.

Subject to mandatory law, UniKey’s total liability for claims arising from the Service will not exceed the greater of (a) the amount you paid to UniKey for the affected Service during the 12 months before the event giving rise to the claim, or (b) RMB 1,000. This limit does not apply to liability that cannot lawfully be limited, including fraud, wilful misconduct, or personal injury caused by our negligence.

12. Changes and governing law​

We may update these Terms by posting a revised version and changing the effective date. For material changes, we will provide notice where reasonably practicable. Continued use after the effective date means that you accept the revised Terms. If you do not agree, stop using the Service.

These Terms are governed by the laws of the People’s Republic of China, excluding conflict-of-law rules. A competent people’s court in China will have jurisdiction, unless mandatory law gives you another forum or remedy. Before starting a formal dispute, contact us at support@getunikey.com and give us a reasonable opportunity to resolve it.
